1. Agreement to Terms

By accessing or using the Univer AI application ("App"), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the App.

We may modify these Terms at any time. We will provide notice of any changes by updating the "Last Updated" date. Your continued use of the App following such modifications constitutes your acceptance of the revised Terms.

2. Use License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes.

You may not:

• Modify or create derivative works based on the App or its content.
• Use the App for any illegal or unauthorized purpose.
• Attempt to decompile, reverse engineer, or disassemble the App.
• Remove any copyright, trademark, or other proprietary notices.
• Transfer the App to another person or "mirror" it on any other server.

3. User Accounts

To access certain features of the App, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You agree to provide accurate and complete information when creating your account and to update your information to keep it accurate and current. We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or outdated.

4. User Content

The App allows you to input and upload content ("User Content"). You retain all rights to your User Content, but by submitting it to the App, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and improving the App.

You represent and warrant that:

• You own or have the necessary rights to your User Content.
• Your User Content does not violate the privacy rights, publicity rights, copyrights, contractual rights, or any other rights of any person or entity.
• Your User Content does not contain any content that is illegal, threatening, abusive, defamatory, or otherwise objectionable.

5. AI-Generated Content

The App uses artificial intelligence to generate content ("AI-Generated Content") based on your inputs. While we strive to provide accurate and helpful AI-Generated Content, we cannot guarantee its accuracy, completeness, or suitability for any specific purpose.

You acknowledge that:

• AI-Generated Content may contain errors, inaccuracies, or inappropriate material.
• You should not rely on AI-Generated Content for critical decisions without independent verification.
• You are solely responsible for your use of AI-Generated Content.

6. Privacy Policy

Your use of the App is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.

7. Payment and Subscription

The App may offer subscription plans with different features and pricing. By selecting a subscription plan, you agree to pay the specified fees according to the billing terms presented at the time of purchase.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You can manage and cancel your subscription through your account settings or through your app store account.

We reserve the right to change subscription fees upon reasonable notice. Such notice may be provided at any time through a posting on the App or via email.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP.

10. Indemnification

You agree to indemnify, defend, and hold harmless our company, its officers, directors, employees, agents, and licensors from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account.

11. Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App or delete your account through the settings.

12. Governing Law
